Terms of Service

Design & Consultancy Services

These Terms of Service (“Terms”) govern all design and consultancy services provided by Igor Dresvyannikov (“Designer”, “I”, “me”) to any client (“Client”, “you”). By making a payment or engaging my services, you agree to these Terms in full.

1. Services

I provide UI/UX design and design consultancy services, which may include but are not limited to:

  • Online consultations (video or audio calls)
  • UX/UI design work
  • Design reviews and audits
  • Delivery of design files, mockups, and related digital assets

The specific scope of work is agreed upon before each engagement, either verbally or in writing via email or messaging.

2. Fees and Payment

  • All fees are quoted and invoiced in EUR (€).
  • Payment is due in full before work begins or before a scheduled session, unless otherwise agreed in writing.
  • I reserve the right to withhold delivery of files or access to sessions until payment is confirmed.
  • Prices do not include VAT. As a Spanish autonomo providing services to clients outside the European Union, VAT (IVA) is not applicable to cross-border service transactions per Spanish tax law (Art. 69 LIVA).

3. No Cancellations or Refunds

All sales are final.

  • No refunds will be issued once payment has been made.
  • Sessions and engagements are non-cancellable after payment.
  • If a Client fails to attend a scheduled session or does not respond to communications, the session is considered delivered and no refund or rescheduling is owed.
  • In exceptional circumstances (e.g., my inability to deliver due to illness or emergency), I may offer a rescheduled session at my sole discretion — this does not constitute an obligation.

Prepaid hours validity:

  • Design work may be paid for in advance as a block of hours.
  • Prepaid hours are valid for 3 (three) months from the date of payment.
  • Any unused hours remaining after this period expire automatically and are non-refundable.
  • It is the Client’s responsibility to schedule and use prepaid hours within the validity period. No extensions will be granted.

4. Delivery of Work

  • Digital deliverables (files, mockups, prototypes) are delivered via agreed digital channels (email, cloud link, etc.).
  • Delivery timelines are estimates and not guaranteed unless explicitly stated in writing.
  • I am not responsible for delays caused by the Client’s failure to provide necessary materials, feedback, or access in a timely manner.

5. Intellectual Property

  • Upon receipt of full payment, the Client receives a non-exclusive license to use the delivered materials for their intended purpose.
  • I retain the right to display work in my portfolio unless the Client requests confidentiality in writing before work begins.
  • I retain ownership of all preliminary concepts, unused designs, and process work not included in the final delivery.

6. Client Responsibilities

The Client agrees to:

  • Provide accurate and complete information necessary for the work.
  • Respond to requests for feedback or clarification within a reasonable time.
  • Ensure they have the rights to any materials (logos, images, content) provided to me for use in the work.

I am not liable for any issues arising from inaccurate or incomplete information provided by the Client.

7. Limitation of Liability

  • My total liability for any claim arising from services rendered shall not exceed the amount paid by the Client for the specific engagement in question.
  • I am not liable for any indirect, consequential, or incidental damages, including but not limited to loss of revenue, loss of data, or business interruption.
  • Design work is provided as-is. I make no guarantee that delivered designs will achieve specific business outcomes.

8. Confidentiality

I will treat any information shared by the Client as confidential and will not disclose it to third parties without consent, except where required by law.

9. Governing Law

These Terms are governed by the laws of Spain. Any disputes shall be subject to the jurisdiction of the courts of Spain.

10. Changes to These Terms

I reserve the right to update these Terms at any time. The version in effect at the time of payment applies to that engagement.
